Voyedge Pty Ltd (ABN 81 632 924 415)
By purchasing, accessing, or using any Voyedge products or services, the purchasing school or organisation (“the School”) agrees to the following Terms & Conditions.
Payment of an invoice, or access to and/or use of any Voyedge products or services, constitutes acceptance of these Terms & Conditions.

1. Nature of Products and Services
Voyedge provides educational resources and support tools, including but not limited to:
-
assessment materials (e.g. SACs, examinations, marking guides, sample responses),
-
planning, curriculum, and differentiation support resources,
-
digital assistants and software-based services.
All Voyedge products and services are provided as supporting resources only.
Voyedge products and services:
-
are not a substitute for professional judgment, and
-
do not replace the responsibility of schools, teachers, or leadership to exercise their own expertise, oversight, and decision-making.

2. Professional Judgment and Responsibility
The School acknowledges and agrees that:
-
final decisions regarding curriculum, assessment, student adjustments, compliance, moderation, and educational practice rest solely with the School and its staff;
-
Voyedge resources must be reviewed, adapted, and applied in accordance with the School’s professional standards, policies, and obligations; and
-
Voyedge is not responsible for how its products or services are implemented, interpreted, or relied upon by the School or its staff.

3. Compliance and Regulatory Obligations
The School remains solely responsible for ensuring that its use of Voyedge products and services complies with all applicable:
-
education authority requirements,
-
legislative and regulatory obligations,
-
curriculum and assessment frameworks,
-
disability, privacy, and duty-of-care obligations.
Voyedge does not warrant that use of its products or services will, of itself, ensure compliance with any specific regulatory, audit, moderation, or legal requirement.

4. Limitation of Liability
To the maximum extent permitted by law:
-
Voyedge excludes all liability for any loss, damage, cost, or expense (whether direct or indirect) arising from the use, misuse, or reliance on its products or services; and
-
Voyedge is not liable for any consequential, incidental, or indirect loss, including but not limited to loss of data, loss of opportunity, reputational loss, or administrative burden.
Nothing in these Terms & Conditions excludes or limits any rights or remedies that cannot be excluded under the Australian Consumer Law.

5. Delivery and Timelines
Voyedge makes every reasonable effort to:
-
supply products and services in a timely manner, and
-
meet indicative delivery, activation, or release timeframes.
The School acknowledges that:
-
some resources may be supplied progressively or in stages;
-
delays may occur due to workload, customisation requirements, third-party systems, or unforeseen circumstances; and
-
all delivery timelines are indicative only and not guaranteed.
Voyedge is not liable for loss arising from delays in delivery, provided reasonable efforts have been made.

6. Early Access and Use Prior to Payment
Voyedge may, at its discretion, provide access to products or services prior to receipt of full payment.
The School acknowledges that:
-
access to or use of any Voyedge products or services constitutes acceptance of these Terms & Conditions, regardless of payment status; and
-
payment of the issued invoice remains due in accordance with the invoice terms.

7. Licence and Permitted Use
Unless otherwise stated:
-
products and services are licensed for use by staff of the purchasing School only;
-
licences are non-transferable and may not be shared with other schools or organisations; and
-
unauthorised distribution, reproduction, resale, or sharing is prohibited.
The School is responsible for ensuring that use of Voyedge products and services remains within the scope of the licence granted.

8. Data, Inputs, and Use of Digital Tools
Where digital tools or assistants are provided:
-
the School controls how such tools are used by its staff;
-
no student-identifying information is required for use; and
-
the School is responsible for ensuring that any information entered is appropriate and consistent with its own privacy and data governance obligations.
Voyedge is not responsible for content entered by users or for decisions made based on generated outputs.

9. Amendments
Voyedge reserves the right to update these Terms & Conditions from time to time.
Updated Terms & Conditions will apply to future purchases.

10. Governing Law
These Terms & Conditions are governed by the laws of Victoria, Australia.
